Confidentiality and Content Use Agreement
This Training Portal Confidentiality and Content Use Agreement (“Agreement”) applies as a condition of access to the BW Packaging online training portal and related training materials (collectively, the “Training Portal”).
By accepting this Agreement and accessing or using the Training Portal, the user acknowledges that they have read, understood, and agree to comply with the terms below.
1. Authorized Use
BW Packaging (“Company”) grants authorized users a limited, non-exclusive, non-transferable, revocable right to access and use the Training Portal solely for training and supporting personnel who operate, maintain, troubleshoot, service, or otherwise work with Company equipment.
Access to the Training Portal does not transfer or grant any ownership interest or other intellectual property rights in the Training Portal or its contents.
2. Confidential and Proprietary Information
Users acknowledge that the Training Portal and all content made available through it, including without limitation videos, demonstrations, photographs, manuals, documents, troubleshooting guides, procedures, diagrams, graphics, technical information, instructional materials, and other content (“Training Content”), contain confidential, proprietary, and/or copyrighted information belonging to Company or its licensors.
Users must protect the Training Content from unauthorized access, use, copying, disclosure, or distribution.
3. Prohibited Activities
Except with Company’s prior written authorization, users must not:
- Record, screen record, capture, photograph, or otherwise reproduce any portion of the Training Portal or Training Content.
- Download, copy, duplicate, reproduce, transcribe, or otherwise capture Training Content.
- Share, distribute, publish, transmit, post, upload, sublicense, sell, lease, transfer, or otherwise make Training Content available to any unauthorized person or entity.
- Use Training Content to provide training, instruction, consulting, or other services to any third party.
- Use Training Content for marketing, advertising, promotional, commercial, competitive, or other business purposes beyond authorized internal use in connection with Company equipment.
- Modify, adapt, translate, create derivative works from, or incorporate Training Content into other training materials, manuals, courses, presentations, websites, software, or other works.
- Use automated tools, artificial intelligence systems, screen-capture technology, scraping technology, or other means to extract, reproduce, analyze, or recreate Training Content.
- Circumvent, disable, defeat, or attempt to circumvent or defeat any technical, security, access-control, or other protection measures implemented to protect the Training Portal or Training Content.
4. Authorized Users and Account Security
Access to the Training Portal is limited to authorized users. Login credentials must not be shared or used to provide access to unauthorized persons.
Any known or suspected unauthorized access, use, copying, recording, disclosure, or distribution of Training Content should be reported promptly to BW Packaging.
5. Ownership and Intellectual Property
All right, title, and interest in and to the Training Portal and Training Content, including all copyrights, trademarks, trade secrets, know-how, and other intellectual property rights, remain with Company or its applicable licensors.
No rights are granted except the limited access and use rights expressly stated in this Agreement.
6. Termination of Access
Company may immediately suspend or terminate access to the Training Portal upon any actual or suspected violation of this Agreement, without limiting any other rights or remedies available to Company.
Upon termination of access, use of all Training Content must cease and, upon Company’s request, any copies or reproductions of Training Content must be returned or permanently destroyed.
7. Remedies
Unauthorized recording, copying, use, disclosure, distribution, or commercialization of Training Content may cause Company substantial and irreparable harm for which monetary damages alone may be inadequate.
Company may seek all remedies available under applicable law, including injunctive or equitable relief, in addition to any other available rights or remedies.
8. Exceptions
The obligations in this Agreement do not apply to information that can be demonstrated to:
- have been lawfully known without restriction before being provided by Company;
- become publicly available through no breach of this Agreement;
- have been independently developed without use of or reference to the Training Content; or
- require disclosure pursuant to applicable law or valid legal process, provided Company is given prompt notice to the extent legally permitted.
9. Electronic Acknowledgment and Acceptance
By selecting the acceptance checkbox during registration or access to the Training Portal, the user confirms that they have read, understood, and agree to comply with this Confidentiality and Content Use Agreement.
Acceptance of this Agreement is a condition of access to the BW Packaging Training Portal.
